MEMBERSHIP TERMS & CONDITIONS

Silverstone Technology Cluster (STC) is a not-for-profit company limited by guarantee (Company number 10324273) registered at Silverstone Park Innovation Centre, Silverstone Park, Silverstone Circuit, Towcester NN12 8GX.

STC is a business membership organisation set up for the benefit of companies in and around Silverstone. These terms and conditions form the basis upon which STC will deliver a service to its members (“Members”). On becoming a Member, you agree to these terms and conditions and you agree to STC dealing with your personal information in accordance with the STC Privacy Policy which can be found on the website.

  1. Membership Levels
    1. STC offers membership to companies and businesses based on the number of full-time employees employed by the member organisation.
    2. The cost of annual membership increases on a sliding scale, depending on the number of full-time employees in the company. The STC membership fees are available on the STC website.
    3. STC reserves the right to review and change fees from time to time at its discretion. Any changes to the fees will be published on the STC website.
  1. Membership Benefits
    1. Membership is offered on a corporate basis and all employees of a Member are entitled to use the benefits of membership, within the limits of any relevant category of membership.
    2. The benefits associated with the different membership categories are set out on the STC website.
    3. STC reserves the right to review and change the benefits associated with each membership category at its discretion. Changes to membership terms will be notified to Members.
  1. Membership Applications
    1. All membership applications must be submitted online through the STC website.
    2. Applications for membership will be reviewed by STC who reserve the right to reject applications for any reason. Applicants may be offered membership or placed on a waiting list.
    3. All member organisations must have a named primary contact.
    4. Members will be invited, during the application process, to complete a company profile that will appear on the STC website. The primary contact will receive login details and can upload news items to the website and make updates to their profile.
    5. All information provided to STC about a Member organisation must be true and accurate. STC is not responsible for the accuracy of any information posted by Members.
    6. In the event of a change of circumstances (such as the size of the organisation crossing membership categories, primary contact changes, change of contact details etc.) Member’s must immediately notify STC so that a Member’s records are up to date.

  1. Membership Payments, Renewals and Cancellations
    1. Annual membership fees become due immediately on members joining STC and are then payable annually, based on the original month of joining. Renewal invoices will be sent to you each year and must be paid within 30 days.
    2. At the point of renewal of membership, the renewal payment is confirmation of the continued acceptance of membership. A Member may not transfer membership or any membership rights or obligations to another company, business or organisation.
    3. In the event that STC does not receive payment of membership fees within 30 days of the invoice date from a prospective new member, the prospective member will not be admitted to membership of the STC company.  
    4. Membership fees are non-refundable. No refunds will be given in the event of membership cancellation or termination.
    5. Members are free to cancel their membership at any time. If members do not wish to renew, they must inform STC within 30 days of receipt of the renewal notice.
    6. If renewal invoices are not paid by Members within 30 days of the invoice date, STC reserves the right to terminate membership with immediate effect and withdraw any benefits associated with that membership (including attendance at forthcoming events).
  1. Use of Branding and Logos
    1. Members are granted a non-exclusive, royalty-free licence to use the STC logos in company advertising, literature and websites.
    2. This licence is granted to you on the following conditions:
      1. You may only use the STC logos and name in line with the guidelines provided to Members. You acknowledge and agree that it is your responsibility to remain informed about and comply with any changes we make to the branding guidelines.
      2. You may not assign or sub-license the licence granted by this Agreement.
  1. Liability
    1. References to liability in this clause include every kind of liability arising under or in connection with membership including liability in contract, tort (including negligence), misrepresentation, restitution or otherwise.
    2. Subject to the above clause 6.1, and clause 6.3 below, STC’s total liability to a Member for all loss or damage (including costs) shall not exceed £1,000.
    3. Nothing in the Contract limits any liability which cannot legally be limited, including liability for:
      1. death or personal injury caused by negligence;
      2. fraud or fraudulent misrepresentation; and
      3. breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession)
    4. STC may not benefit from the limitations and exclusions set out in this clause in respect of any liability arising from its deliberate default.
  1. Current Articles of Association
    STC is a member organisation, has been incorporated as a company limited by guarantee and has no shareholders.  The company is a not-for-profit organisation, with a governing board of directors. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
